By purchasing and using LUX Lighting Systems LED Rock Lights (the “Product”), you agree to be bound by the following Limited Warranty and Terms of Use. If you do not accept this Limited Warranty or Terms of Use, do not purchase or use the Product.

Limited Warranty Terms
3 year replacement warranty for manufacturing defects
1 year, one-time-only, accidental damage replacement
TO QUALIFY FOR THIS WARRANTY:
- The product must have been purchased directly from LUX Lighting Systems or a certified reseller (“LUX”).
- You must be the first retail purchaser. This warranty is not transferrable to subsequent owners.
- You must provide proof of original purchase.
WARRANTY TERMS
1-year Accidental Damage Replacement Limited Warranty
Lux offers a one (1) year, one-time-only, accidental damage replacement warranty if the Product becomes accidentally damaged during use. You must notify LUX in writing of any accidental damage that occurs within the 1-year warranty period. This warranty applies only to the initial purchase of the Product and does not renew with the delivery of a replacement Product. Where applicable, this warranty does not cover the costs of labor associated with a replacement Product.
3-year Replacement Limited Warranty for Manufacturing Defects
This Limited Warranty applies solely to the Product as manufactured and distributed by Lux. Subject to the limitations herein, Lux warrants that, during the warranty period, when purchased directly from Lux and used for permitted purposes, the Product will be free of material and manufacturing defects. The warranty period is three (3) years from the date of purchase. You must notify Lux in writing of any nonconformity within the 3-year warranty period. This warranty applies only to the initial purchase of the Product and does not renew with the delivery of a replacement Product. Where applicable, this warranty does not cover the costs of labor associated with a replacement Product. This warranty shall not be valid if the Product has been subject to damage caused by improper or non-permitted use, modification or improper installation or attempted repair by an unauthorized third party.
Exclusive Remedy
Your sole and exclusive remedy for LUX’s breach of either of the Limited Warranties offered above shall be a replacement of the Product as provided herein.
Exclusions and Disclaimers
The 1-year Limited Warranty provided herein does not extend to Products affected or damaged by intentional misuse or destruction. The 3-year Limited Warranty provided herein does not extend to Products affected or damaged by improper or non-permitted use, accident and/or collision, unauthorized tampering or modification, or normal wear and tear. EXCEPT AS PROVIDED IN THE LIMITED WARRANTIES EXPRESSED HEREIN, LUX DISCLAIMS, TO THE FULLEST EXTENT AUTHORIZED BY LAW, ANY AND ALL WARRANTIES, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING, WITHOUT LIMITATION, (i) WARRANTIES OF MERCHANTIBILITY, FITNESS FOR PARTICULAR PURPOSE, OR WORKMANLIKE EFFORT; AND (ii) WARRANTIES ARISING THROUGH COURSE OF DEALINGS OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, LUX EXPRESSLY DISCLAIMS ANY WARRANTY THAT THE PRODUCT WILL MEET YOUR REQUIREMENTS. YOU ASSUME RESPONSIBILITY FOR SELECTING THE PRODUCT TO ACHIEVE YOUR INTENDED RESULT AND FOR THE RESULTS OBTAINED FROM YOUR USE OF THE PRODUCT.
TERMS OF USE
Intended Use; Release of Claims for Non-Permitted Use This Product is intended for use with off-road all-terrain vehicles (“ATVs”) or other off-road utility terrain vehicles (“UTVs”) only, and no other uses are permitted. This Product is not intended or permitted for use with street vehicles or other motorized vehicles driven on public streets (“Non- Permitted Vehicles”), and such non-permitted use may result in civil or criminal penalties. By purchasing and using this Product, you hereby waive, release, discharge and covenant not to sue LUX for any liabilities you may incur as a result of your improper or non-permitted use of the Product. You are solely responsible to determine the application of any rules or regulations in your area concerning the use and installation of the Product.
Limitation of Liability
IN NO EVENT SHALL LUX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF INFORMATION, OR SIMILAR LOSSES) WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF LUX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY IS INDEPENDENT OF YOUR EXCLUSIVE REMEDY AND SURVIVES IN THE EVENT SUCH REMEDY IS DEEMED UNENFORCEABLE. UNDER NO CIRCUMSTANCES SHALL LUX’S CUMULATIVE LIABILITY EXCEED THE AMOUNT RECEIVED FROM YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.
Indemnification
Customer agrees to indemnify, defend, and hold LUX harmless from any claim, suit, damage, or loss (including, without limitation, attorney fees) resulting from any act or omission of Customer with respect to the Product applied to Customer’s ATV, UTV, or Non-Permitted Vehicle. Further, Customer shall release, indemnify, defend and hold Lux harmless from any claim, suit, damage or loss (including, without limitation, attorney fees) that arises from or is alleged to be the result of a failure to properly operate the Customer’s ATV, UTV or Non-Permitted Vehicle as the result of the presence of the Product. The acts or omissions for which Customer will release, indemnify and defend Lux include, but are not limited to, Customer’s negligence and/or failure to observe and enforce reasonable safety precautions in the operation of Customer’s vehicle. The foregoing release, indemnity and defense shall apply in the event of any loss, suit, or claim arising from any operation of Customer’s ATV, UTV, or Non-Permitted Vehicles, whether or not Customer is operating the vehicle at the time any act or omission giving rise to a loss, suit or claim occurs.
Governing Law and Venue
This Limited Warranty and these Terms of Use are governed by the laws of the State of Oregon without regard to conflict-of-law principles. In any action or proceeding arising from claims against this Limited Warranty or seeking to enforce any provisions of these Terms of Use, venue shall lie exclusively in Marion County, Oregon, and in no other location. The parties further agree that the United Nations Convention on Contracts for the International Sale of Goods (“CISG”) shall not apply to this Limited Warranty or limited remedy granted herein, and the applicable law shall be the Uniform Commercial Code, as adopted and applied in the State of Oregon.
Waiver
No waiver of any provisions of this Limited Warranty or these Terms of Use shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver.
Entire Agreement
This Limited Warranty and these Terms of Use contain the entire agreement between LUX and the customer purchasing the Product. This Limited Warranty and these Terms of Use supersede any prior agreements, understandings, or negotiations, whether written or oral.
